Filipe Thompson
Corporate Law and Capital Markets
Filipe Thompson advises on corporate law, mergers and acquisitions, commercial contracts and financial and capital markets matters. His background includes large law firms with a transnational practice, where he worked on transaction teams involving Brazilian and international groups, financial investors and publicly held companies.
He has worked on acquisitions and disposals of equity interests, corporate reorganizations, joint ventures and investments in financial services, insurance, technology, education, industry and real estate. He advises on price negotiations, shareholder relationships, governance, closing conditions and post-transaction obligations.
In venture capital and private equity, he advises on negotiations among founders, investors and portfolio companies. His work covers economic and voting rights, financing rounds, governance and exit arrangements, following the needs of the business and its shareholders throughout the investment.
He also handles regulatory matters before Brazil’s Securities and Exchange Commission, the Comissão de Valores Mobiliários (CVM), concerning public companies, investments and capital markets regulation. In 2025, he coauthored FM/Derraik’s submission to Public Consultation SDM No. 03/2024 on the framework for Brazilian private equity investment funds. His work also covers regulatory aspects of transactions involving overseas markets and institutions, in coordination with counsel in the relevant jurisdictions.
Negotiation and Shareholder Disputes
Filipe acts as a trusted advisor in long-term client relationships. He seeks to understand the business and anticipate issues that may affect its decisions, coordinating legal work from negotiation through performance of the agreed obligations.
He handles corporate and commercial litigation and the work preceding formal proceedings. His practice addresses shareholder disagreements, contractual performance and acquisition-related obligations, examining the documents, available evidence and relationships the client wishes to preserve.
Where settlement serves the client’s interests, he negotiates its terms and drafts provisions on performance, security and default. He also assesses the procedural measures needed to protect the rights involved.
Technology and Legal Writing
Filipe has practical experience in information technology and information security. In advising technology businesses, he handles digital contracts, rights over assets, conditions for using systems and the obligations of companies, developers and suppliers.
He advises on privacy, personal data protection, digital law and emerging technologies, including data governance, contractual arrangements and responsibilities for the use of systems and information. He examines the application of Brazil’s General Data Protection Law (LGPD) and the legal risks of digital products and services in clients’ operations.
He is a coauthor of Manual de Direito para Startups, edited by Erik Frederico Oioli and published by Thomson Reuters Brasil, which reached its third edition in 2023. His legal writing includes contributions to Latin Lawyer, The American Lawyer, Thomson Reuters Practical Law and Capital Aberto, as well as corporate and commercial law publications, addressing transactions, publicly held companies and regulation.
He takes part in discussions and lectures on cryptoassets, digital law and innovation. Within Startup20, he is a member of the Regulation and Public Policies Task Force, a specialist G20 working group dedicated to the startup ecosystem. Its work brings contributions to the international discussion on innovation, regulation and business development.
