Brazil in the Client’s Strategy
We advise Brazilian and foreign clients on investments, transactions and disputes in Brazil. Our work includes company formation, acquisitions, contracts, real estate and regulatory matters, as the project requires.
Where advisers in other countries are involved, we coordinate the Brazilian documents and steps with the transaction timetable and the requirements of the other jurisdictions.
Transactions Across Jurisdictions
We coordinate due diligence, the negotiation of transaction documents and signing and closing conditions with the firms responsible for other jurisdictions. We agree each team’s responsibilities and track outstanding matters that may affect more than one stage of the transaction.
Our corporate work includes investment and acquisition agreements, shareholder rights, governance and capital markets matters. Filipe Thompson brings experience in international transactions gained at major law firms with cross-border practices.
Disputes Across Borders
Cooperation also extends to litigation and arbitration involving parties, contracts, evidence or assets in different countries. MFA handles the Brazilian-law aspects and can coordinate with the foreign counsel involved.
Depending on the matter, work may include supporting court measures, international judicial cooperation, and the recognition and enforcement of court judgments or arbitral awards. Strategy takes account of the procedures available in each jurisdiction and the coordination of the steps required.
Independent Counsel, Clear Responsibilities
We work with independent correspondent firms in Brazil and abroad, according to the expertise and jurisdiction required. Each firm is responsible for its own advice; coordination establishes deliverables, deadlines and communication between teams and with the client.
Validity of Foreign Documents in Brazil
MFA advises on the use of foreign documents in transactions and legal acts in Brazil, assessing their legal effect, representation powers and applicable transaction requirements. Advice covers apostilles or consular legalization, sworn translations and registrations where required, so that powers of attorney, corporate resolutions and other instruments meet the transaction’s legal requirements.
