José Mauro de Farias Junior

Business Law, Contracts and Governance

Mauro Farias is a lawyer, entrepreneur and investor. His legal practice focuses on business, contracts, governance and asset structures, informed by more than twenty years of business experience. He advises on investment structures, the negotiation of obligations and the protection of clients’ interests throughout a project’s implementation.

He advises on shareholder relationships, technology contracts, licensing, data protection and directors’ responsibilities. He brings knowledge of business, administrative and digital law to these matters alongside his own experience as an entrepreneur and investor.

In institutional relations, he advises on regulatory requirements and the allocation of responsibilities. Matters involving public authorities are handled under the applicable procurement and oversight rules, the law and the firm’s integrity standards.

When advising on equity interests, real estate projects, acquisitions and reorganizations, he examines capital structure, shareholders’ decision-making powers and the commitments needed to carry out the transaction.

His investment interests include venture capital, artificial intelligence and technology infrastructure. Legal work in these areas addresses intellectual property, licensing and computing capacity, as well as the rights and obligations associated with different revenue models.

Mauro’s business base is Rio de Janeiro, and he maintains relationships with entrepreneurs, investors and partners in Brazil and abroad.

Education and Professional Background

He holds degrees in Law and Administration, postgraduate qualifications in Administration from the Brazilian Navy’s Centro de Instrução Almirante Wandenkolk and an MBA in Public Administration from Fundação Getulio Vargas.

He served as an officer in the Brazilian Navy and spent ten years as a Federal Police agent. He also held management positions in transport and environmental administration.

Governance and Digital Citizenship

In 2020, he took on a project to transform technology within the State of Rio de Janeiro, bringing a business perspective to public management. Efficiency, planning, governance and the monitoring of results guided this period. In December 2024, he completed that chapter and returned his focus to investment, entrepreneurship and legal practice.

He led PRODERJ from 2020 to 2022 and served as State Secretary for Digital Transformation from 2022 to 2024. The agenda covered procurement modernization, clearly assigned responsibilities, data protection and simpler access to services.

In 2024, Rio de Janeiro placed second in the ABEP-TIC Digital Public Services Index, and RJ Digital offered more than 2,500 services.

His work in this field has a national profile, including his former role as vice president of ABEP-TIC. He participated in the 2024 e-Governance Conference in Estonia and received the Tiradentes Medal from the Rio de Janeiro State Legislative Assembly in 2023.
